Terms of Service

1. Agreement to Terms

By accessing or using AmirBrooks' services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

AmirBrooks provides:

• Digital transformation consulting
• AI implementation and automation
• Website development and optimization
• Technical strategy and architecture
• Ongoing partnership and support services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Respond to requests in a timely manner
• Make payments according to agreed terms
• Respect intellectual property rights
• Use services only for lawful purposes

4. Payment Terms

Project-Based Services

• 50% deposit required to begin work
• Remaining balance due upon project completion
• Additional work outside scope requires separate agreement

Monthly Partnerships

• Billed monthly in advance
• No long-term contracts required
• 30-day notice for cancellation

5. Intellectual Property

Client Materials

You retain all rights to materials you provide to us.

Deliverables

Upon full payment, you own all custom work products created specifically for your project.

Pre-existing Materials

We retain rights to our pre-existing tools, frameworks, and methodologies.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

7. Warranties and Disclaimers

We warrant that services will be performed professionally and with reasonable skill and care.

Disclaimer: Services are provided "as is" without warranty of any kind, express or implied. We do not guarantee specific results or outcomes.

8. Limitation of Liability

Our total liability shall not exceed the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate services:

• Project-based: Upon completion or mutual agreement
• Monthly partnerships: With 30 days written notice
• Immediately for material breach after 10 days notice to cure

10. Dispute Resolution

Any disputes will first be addressed through good faith negotiation. If unresolved, disputes will be settled through binding arbitration.

11. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated with 30 days notice.

12. Governing Law

These terms are governed by the laws of the jurisdiction where AmirBrooks is registered, without regard to conflict of law principles.

13. Entire Agreement

These terms, together with any signed statements of work, constitute the entire agreement between parties.
